 Real Estate

Ms. Winston is experienced in creating condominium regimes, representing homeowners associations, drafting covenants, easements and restrictions, putting together real estate transactions and performing research related to various types of real estate litigation, including option agreements, title disputes, easement and access disputes and priority disputes.

Condominium creation

Since joining the firm, Ms. Winston has worked closely with John N. Patterson on condominium projects throughout the State of New Mexico. She has experience representing and advising condominium developers and has acquired drafting expertise with regard to all of the statutorily-required instruments necessary to create a condominium regime.

Condominium and Homeowners' association representation

Ms. Winston has represented, counseled and provided orientation sessions to homeowners associations and condominium associations in Santa Fe, Taos and Albuquerque.  She has also advised developers on the transition of association control to lot owners and unit owners.

Transactions

Ms. Winston handles a wide variety of real estate transactions, including the purchase and sale of residential property, the purchase and sale of commercial property, residential and commercial leases, the sale of a mixed-use commercial and residential development, construction agreements, and the creation of residential condominiums. Ms. Winston has experience in negotiating and drafting all of the documents necessary for the above transactions, including purchase agreements, promissory notes, mortgages, deeds, grants of easements, covenants and restrictions, leases, asset purchase agreements and security instruments, and condominium declarations and bylaws.

 Commercial Transactions

Ms. Winston has represented clients in connection with office leases and purchases, professional services agreements, employment agreements, non-competition agreements, and other business matters. 

 Business Entities

Ms. Winston has counseled clients in connection with start-ups of new ventures, including selecting the appropriate form of business entity and preparing the relevant documents for formation and governance of the selected entity, whether a corporation, limited liability company, limited partnership, general partnership or non-profit corporation.

 Non-Profit Corporations

Ms. Winston has advised clients in connection with formation and governance of non-profit corporations and obtaining status as exempt organizations under federal and state income tax laws. 

Education and Background

Ms. Winston was born in Washington, D.C. in 1968.  She received a Bachelor of Arts from Bryn Mawr College in 1991. Before enrolling in law school, Ms. Winston conducted research on Parkinson's disease at the National Institute of Health, assisted with research on neurodegenerative disorders at the University of Pennsylvania's Department of Neurology and was a research staff member with the Human Genome Project at the Children's Hospital of Pennsylvania. Ms. Winston was awarded her Juris Doctor from the University of New Mexico School of Law in 2005, where she was co-editor of the New Mexico Natural Resources Journal.
